Terms of Service
Terms governing access to and use of Underline LLC’s websites, products, subscriptions, and related services.
1. Agreement and Company Information
These Terms of Service (“Terms”) govern access to and use of the websites, applications, software, platforms, hosting services, APIs, and related services provided by Underline LLC that link to or expressly incorporate these Terms (collectively, the “Services”).
Underline LLC (“Underline,” “we,” “us,” or “our”) is a Nebraska limited liability company located at:
1703 N Park Ave Grand Island, Nebraska 68803 United States
Legal contact: legal@underline.team
“You” and “your” mean the individual accepting these Terms or, where that individual is authorized to bind an organization, that organization.
You agree to these Terms when you affirmatively accept them through a registration, checkout, order, or other acceptance process. Where permitted by applicable law, using the Services after receiving conspicuous notice of these Terms and a reasonable opportunity to review them also constitutes acceptance.
If you do not agree, do not access or use the Services.
2. Scope and Additional Agreements
These Terms apply to applicable Underline company websites and products, including:
- StaffPortal
- Zentra
- WebKiln
- PitStop
Product-specific terms, order forms, subscription details, acceptable use policies, community guidelines, data processing agreements, and other supplemental terms may apply when presented to you and incorporated into the applicable agreement.
If documents conflict, the following order applies solely to the subject matter of the conflict:
- A separately negotiated agreement signed by authorized representatives.
- An applicable data processing agreement, for personal-data processing matters.
- An accepted order form or product-specific agreement.
- These Terms.
- Other incorporated policies.
An order form changes these Terms only to the extent it clearly identifies the different arrangement.
Our Privacy Policy describes our handling of personal information. These Terms do not replace legally required consent or limit statutory privacy rights.
3. Eligibility and Minimum Ages
The minimum account ages are:
| Product | Minimum age | |---|---| | StaffPortal | 18 | | Zentra | 18 | | WebKiln | 18 | | PitStop | 16 |
A higher age requirement imposed by applicable law also applies.
You must have the legal capacity to enter this agreement or obtain acceptance by a parent, guardian, or other legally authorized representative where permitted and required.
For eligible PitStop users who lack capacity to contract independently, a parent or legal guardian must review and accept these Terms on the user’s behalf. The parent or guardian agrees to supervise the permitted use and accept responsibility to the extent allowed by applicable law.
Parental permission does not lower a product’s stated minimum age.
You may not use the Services if prohibited by applicable law or if you are subject to an applicable legal restriction preventing us from providing them.
4. Organization Accounts and Authority
If you accept these Terms for an employer, company, or other organization, you represent that you have authority to bind it.
Organizations are responsible for:
- Authorizing their users and administrators.
- Managing access, roles, and permissions.
- Ensuring appropriate use by their authorized users.
- Providing legally required notices and obtaining necessary permissions.
- Establishing lawful instructions for processing organization-controlled information.
An organization administrator may manage accounts, access workspace information, change permissions, remove users, and control organization content according to the applicable product and agreement.
If you leave an organization, continued access to its workspace is determined by that organization and applicable agreements.
5. Accounts and Security
You must provide accurate registration information and keep material account details current.
You are responsible for protecting your credentials and for activity you authorize through your account. You must not knowingly allow unauthorized access or share credentials in a manner that circumvents license, security, or account restrictions.
Notify us promptly if you suspect unauthorized access or a security incident involving your account.
We may require reasonable verification, additional authentication, or corrective action to protect the Services.
You are not responsible under these Terms for unauthorized activity to the extent that responsibility would arise from our breach of legal obligations or would otherwise be prohibited by law.
6. Permission to Use the Services
Subject to these Terms, applicable product restrictions, and payment of required fees, Underline grants you a limited, nonexclusive, nontransferable right to access and use the Services during the applicable service period.
This permission is limited to the functions, users, capacity, and purposes included in your plan or agreement.
You may not resell, sublicense, lease, or commercially redistribute access unless we expressly authorize it.
Software downloads, open-source components, and third-party materials may have separate license terms. Those terms govern the relevant components where applicable.
Except for rights expressly granted, Underline and its licensors retain all rights in the Services.
7. Acceptable Use
You must use the Services lawfully and respect the rights and safety of others.
You must not:
- Violate applicable law or another person’s intellectual property, privacy, or other legal rights.
- Upload or distribute malware, ransomware, credential-stealing tools, or malicious code.
- Attempt unauthorized access, credential theft, account compromise, or interference with systems.
- Circumvent access controls, rate limits, subscription restrictions, or security safeguards.
- Conduct denial-of-service attacks or materially disrupt the Services.
- Engage in fraud, phishing, impersonation, deceptive practices, or unauthorized financial activity.
- Harass, threaten, exploit, stalk, or unlawfully discriminate against others.
- Create, possess, distribute, or facilitate child sexual abuse material or other sexual exploitation of minors.
- Publish private information without appropriate authority or engage in doxxing.
- Send unlawful spam or unsolicited communications.
- Scrape, harvest, or collect information in violation of law, access restrictions, or privacy rights.
- Reverse engineer the Services except where applicable law expressly permits despite this restriction.
- Remove proprietary notices or falsely claim affiliation with Underline.
- Use the Services to facilitate prohibited transactions or evade legal restrictions.
- Use excessive resources in a manner that materially harms service availability or exceeds disclosed plan limits.
Security testing requires prior written authorization unless an applicable published vulnerability disclosure program expressly permits the activity.
Nothing in these Terms prohibits lawful reporting to regulators, protected disclosures, or other legally protected activity.
8. Your Content and Ownership
“Your Content” means information, files, media, messages, code, documents, and other materials you submit to the Services.
As between you and Underline, you retain your rights in Your Content. These Terms do not transfer ownership of Your Content to us.
You represent that you have the rights, permissions, and lawful basis necessary to submit Your Content and authorize its processing as described in the applicable agreements.
You are responsible for Your Content’s legality and for instructions you provide concerning it.
9. Limited License to Process Content
You grant Underline a nonexclusive license to host, store, reproduce, transmit, display, format, and otherwise process Your Content only as reasonably necessary to:
- Provide and maintain the Services.
- Carry out your instructions and enabled sharing settings.
- Provide technical support and resolve operational problems.
- Protect the Services and address abuse.
- Comply with applicable law and enforce applicable agreements.
We may permit providers acting on our behalf to exercise these rights only as necessary for their functions and subject to applicable obligations.
This license continues for the period necessary to provide the Services and complete permitted retention, backup, deletion, legal compliance, and dispute-resolution activities.
For content you make public, the license includes displaying and distributing that content through the public features you use. It does not grant us a general right to sell Your Content or use it for unrelated advertising.
We do not use personal information or customer content to train artificial intelligence models.
10. Public Content and User Interactions
You determine whether to publish content through available public features.
Public content may be viewed, copied, indexed, or redistributed by others. We cannot guarantee removal of copies independently retained outside our control.
You are responsible for exercising reasonable caution when interacting with other users, arranging meetings, exchanging information, or entering transactions.
Unless expressly stated in a separate agreement, Underline is not a party to transactions between users and does not guarantee another user’s identity, qualifications, statements, goods, services, or conduct.
The Services must not be used to organize unlawful or dangerous conduct. Information concerning vehicles, modifications, venues, events, or other activities does not replace applicable safety requirements, professional advice, or legal obligations.
11. Moderation and Enforcement
We may investigate reported violations and take proportionate action, including removing or restricting content, limiting features, requesting corrective action, suspending accounts, or terminating access.
We may act immediately where reasonably necessary to address unlawful content, exploitation, security threats, serious harm, or legal requirements.
Where appropriate and legally permitted, we provide notice and an opportunity to correct a violation or seek review.
You may request review of an enforcement decision by emailing legal@underline.team and identifying the account, content, decision, and reasons for review.
We do not undertake a general obligation to monitor every item of content. This does not limit duties imposed by applicable law.
12. Fees, Billing, and Taxes
Some Services are free; others require payment.
Before purchase, the applicable checkout or order identifies material pricing terms, such as:
- Subscription or one-time fees.
- Billing frequency and subscription duration.
- Included capacity or usage.
- Any disclosed usage-based charges.
- Trial or promotional conditions.
- Applicable renewal terms.
You authorize charges you expressly agree to through the purchase process.
You must provide accurate billing information and maintain an authorized payment method.
You are responsible for applicable transaction taxes, except taxes imposed on Underline’s net income.
We do not charge undisclosed overage fees merely because a plan limit is reached. Applicable overage charges must be disclosed and authorized through the relevant agreement or purchase process.
13. Subscriptions and Automatic Renewal
A subscription renews automatically only if that renewal arrangement is clearly disclosed and you provide the required agreement or consent.
Where automatic renewal applies, the purchase process specifies the billing period, renewal price or pricing method, and cancellation procedure.
We provide renewal reminders, price-change notices, and other disclosures where required by applicable law.
You may cancel through the billing controls provided for your subscription. If those controls are unavailable or do not work, email legal@underline.team with sufficient information to identify the subscription.
A clear cancellation request received before renewal prevents the next renewal, subject to any lawful, clearly disclosed processing deadline. We will not impose a cancellation deadline prohibited by applicable law.
Unless otherwise stated or required by law, cancellation takes effect at the end of the current paid period. Uninstalling software, ceasing use, or leaving an organization does not itself cancel a subscription.
14. Trials, Refunds, and Billing Disputes
Trial duration, feature limits, and any conversion to a paid subscription are disclosed when the trial is offered.
A trial converts to a paid subscription only where the paid terms and required authorization have been provided.
Except where an accepted order, published refund policy, or applicable law provides otherwise, fees for an already commenced service period are nonrefundable.
This provision does not limit rights relating to unauthorized charges, defective or misdescribed Services, statutory withdrawal rights, or other mandatory remedies.
If Underline permanently discontinues a prepaid Service before the end of your paid term for reasons unrelated to your material breach, we will refund the unused prepaid portion.
Contact us promptly about billing errors. Nothing in these Terms shortens a legally protected dispute period or requires you to waive rights provided by your payment provider or applicable law.
15. Changes to Services and Pricing
We may maintain, improve, modify, or discontinue features.
For a material reduction in core paid functionality during an existing prepaid term, we will provide reasonable advance notice where practicable and an appropriate remedy, which may include continued access, replacement functionality, or a proportionate refund.
Price changes ordinarily take effect at a future renewal or new purchase after legally required notice. We will not retroactively increase the agreed price for an existing prepaid period.
Emergency security changes, legal requirements, and circumstances outside our reasonable control may require immediate action.
16. Third-Party Services
The Services may connect to independent providers, integrations, storefronts, payment processors, or other third-party services.
Your direct use of those services may be governed by their terms and privacy notices.
You are responsible for deciding whether to enable optional integrations and for permissions you grant.
We are not responsible for independent third-party conduct beyond our legal and contractual obligations. This provision does not excuse our responsibilities for subcontractors providing Services on our behalf.
17. Availability, Support, and Backups
We use reasonable efforts to operate the Services, but interruptions may result from maintenance, security events, provider failures, network issues, or other causes.
An uptime commitment, support response deadline, recovery objective, or service credit applies only if expressly included in your agreement or plan.
You should maintain appropriate copies of important content and use available export features.
Your backup responsibilities do not eliminate any backup, security, or recovery obligations we expressly undertake in an applicable agreement.
The Services are not emergency response systems and must not be relied upon as the sole means of managing situations where failure could cause death, personal injury, or serious physical damage.
18. Beta and Development Features
Features identified as alpha, beta, preview, experimental, or pre-release may be incomplete, unstable, modified, or discontinued.
Use them with appropriate testing and safeguards. Do not rely on them for critical production operations unless separately agreed.
Beta access does not guarantee general release or continued availability.
Privacy, confidentiality, and security obligations applicable to information processed through these features continue to apply.
19. Confidential Information
If either party receives nonpublic information from the other that is designated confidential or reasonably understood to be confidential, the receiving party will:
- Use it only to perform or exercise rights under the applicable agreement.
- Protect it using reasonable care.
- Limit disclosure to people and providers who need access and are subject to appropriate confidentiality obligations.
These obligations do not apply to information lawfully known without restriction, independently developed, rightfully received from another source, or publicly available without breach.
Legally compelled disclosure is permitted, with advance notice where lawful and reasonably practicable.
A separately signed confidentiality agreement governs where applicable.
20. Intellectual Property and Feedback
Underline and its licensors own the Services, including their software, designs, branding, and documentation, excluding Your Content and third-party materials.
You may not use Underline trademarks in a manner implying sponsorship or endorsement without authorization.
If you voluntarily provide suggestions or feedback, you authorize us to use that feedback without payment or an obligation to implement it. This permission does not transfer ownership of Your Content or authorize disclosure of confidential information.
Report suspected intellectual property infringement to legal@underline.team. Identify the protected work, the material at issue, its location, your contact information, and the basis for your claim.
We may request additional information and respond according to applicable law.
21. Suspension and Termination
You may stop using the Services and close your account through available controls or by contacting us. Subscription cancellation is governed by Sections 13 and 14.
We may suspend or terminate access if:
- You materially breach an applicable agreement.
- Payment remains overdue after appropriate notice.
- Your use creates a material security, legal, or safety risk.
- We are legally required to do so.
- The relevant Service is discontinued.
Where practicable, we provide notice and a reasonable opportunity to remedy a breach before termination. Immediate action may be taken for serious violations or urgent risks.
We may terminate free access for a legitimate business reason with reasonable notice where practicable and subject to applicable law.
Termination does not excuse fees properly incurred before termination or permit charges that would otherwise be unlawful.
22. Content After Termination
Your permission to use the affected Services ends when the agreement or account terminates.
Where reasonably practicable and legally permitted, we will provide an opportunity to export content before a planned termination or permanent discontinuation. Availability may depend on the product, account status, security risks, and applicable agreement.
After termination, we may delete content according to our Privacy Policy, applicable customer agreements, and retention obligations.
We may retain information necessary for legal compliance, security, resolving disputes, or other lawful purposes.
We are not required to preserve content indefinitely. Applicable data processing agreements and mandatory legal rights remain controlling.
23. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT FOR EXPRESS COMMITMENTS IN AN APPLICABLE AGREEMENT, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
UNDERLINE DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT TO THE EXTENT SUCH DISCLAIMERS ARE LAWFUL.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SUITABLE FOR EVERY PURPOSE, OR THAT ALL DEFECTS WILL BE CORRECTED.
These disclaimers do not exclude express warranties we provide or statutory guarantees and remedies that cannot lawfully be excluded.
24. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNDERLINE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, LOST BUSINESS OPPORTUNITIES, OR LOST ANTICIPATED SAVINGS ARISING FROM THE SERVICES OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNDERLINE’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE AFFECTED SERVICE WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID UNDERLINE FOR THAT SERVICE DURING THE 12 MONTHS BEFORE THE FIRST EVENT GIVING RISE TO THE CLAIM; OR
- US $100.
Related claims are treated together for purposes of this cap.
The exclusions and cap do not limit liability for fraud, willful misconduct, gross negligence, death or personal injury caused by negligence where exclusion is prohibited, or any liability that applicable law does not permit us to exclude or limit.
These limitations do not eliminate refund obligations expressly stated in these Terms.
If applicable law provides a different minimum remedy or prohibits a limitation, that law controls.
25. Business Customer Indemnification
This section applies only where you use the Services on behalf of a business or other organization.
To the extent permitted by law, the organization will defend Underline against a third-party claim arising from:
- Content the organization provides that infringes another person’s rights.
- The organization’s unlawful use of the Services.
- The organization’s material breach of its obligations concerning authority, permissions, or lawful processing instructions.
The organization will pay damages and reasonable costs finally awarded or agreed in an approved settlement.
This obligation does not apply to the extent a claim results from Underline’s breach, unlawful conduct, negligence, or unauthorized modification of the organization’s content.
Underline will provide prompt notice, reasonable cooperation, and control of the defense to the indemnifying organization, subject to reasonable safeguards. A settlement may not admit fault for Underline or impose nonmonetary obligations on Underline without our written consent.
26. Governing Law and Courts
Nebraska law governs these Terms, without applying conflict-of-law rules that would require another jurisdiction’s law.
Except where mandatory law provides otherwise, disputes arising from these Terms or the Services must be brought in:
- A Nebraska state court of competent jurisdiction located in Hall County, Nebraska; or
- The United States District Court for the District of Nebraska, where federal jurisdiction exists.
The parties consent to those courts’ jurisdiction, subject to nonwaivable legal rights.
If you are a consumer, this section does not deprive you of mandatory protections or access to courts available under the law applicable to you.
These Terms do not require arbitration or waive participation in a class action.
27. Informal Resolution
Before filing an ordinary civil claim, you and Underline agree to make a reasonable good-faith effort to resolve the dispute by written notice describing the issue and requested resolution.
Notices to Underline may be sent to legal@underline.team or our mailing address.
The parties ordinarily allow 30 days for discussion. This process does not prevent urgent relief, a small-claims filing, a regulatory complaint, or action necessary to preserve a legal deadline.
No statutory filing period is shortened or extended by this provision unless applicable law or a separate written agreement provides otherwise.
28. Changes to These Terms
We may revise these Terms.
For material changes affecting existing users, we provide reasonable advance notice where practicable through the Services, email, or another appropriate method. Changes required urgently by law or security circumstances may take effect sooner.
Changes apply prospectively. They do not retroactively change an existing dispute or the price of an existing prepaid term.
Where legally required, we obtain affirmative acceptance.
Where permitted by law, continued use after the stated effective date and appropriate notice constitutes acceptance. If you disagree, stop using the affected Services and cancel applicable renewals.
A material reduction in an existing prepaid contractual commitment remains subject to Section 15.
29. General Provisions
Entire agreement. These Terms and applicable incorporated agreements constitute the agreement concerning their subject matter and supersede prior statements on that subject, except separately binding agreements.
Severability. If a provision is unenforceable, it is limited or severed to the extent permitted, and the remaining provisions continue in effect.
No waiver. Failure to enforce a provision is not a waiver of future enforcement.
Assignment. You may not transfer this agreement without our consent, except as permitted by an applicable agreement or law. We may assign it in connection with a merger, reorganization, or transfer of the relevant business, provided the successor assumes the applicable obligations.
Independent parties. These Terms do not create a partnership, agency, employment, or fiduciary relationship.
Events outside reasonable control. Neither party is responsible for delay caused by events beyond its reasonable control, except obligations that remain enforceable under applicable law. This does not excuse payment for Services already provided or eliminate applicable termination and refund rights.
Electronic communications. We may provide ordinary contractual notices electronically where lawful. Any legally required consent to electronic delivery must be obtained separately where applicable.
Survival. Provisions that by their nature should survive termination remain effective, including accrued payment obligations, ownership, confidentiality, lawful retention, liability provisions, and dispute terms.
Mandatory rights. No provision excludes or limits a right or remedy that cannot lawfully be excluded or limited.
